Illustrative sample. Your official certificate is issued after approval.
DIR-3 KYC is the mandatory annual filing under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, by which every Director Identification Number (DIN) holder verifies personal and contact details with the Ministry of Corporate Affairs before 30 September each year.
It applies to every individual allotted a DIN as of 31 March of the relevant year — whether or not they currently serve as a director. Directors use either Form DIR-3 KYC (with DSC, typically first-time or when details change / for reactivation) or Form DIR-3 KYC-WEB (OTP-based, for repeat filers with no change). On-time filing is free (or minimal government fee as applicable); late filing attracts a flat ₹5,000 penalty and automatic DIN deactivation, which prevents signing MCA forms until the DIN is reactivated.
Directors of private limited, public, OPC, Section 8 and other companies.
Anyone who still holds an active DIN, even if not currently on any board.
Disqualified directors and directors of dormant companies must still file.
New DIN holders (often within 30 days of allotment) and foreign directors of Indian companies.
| Aspect | DIR-3 KYC | DIR-3 KYC-WEB |

| Late fee | ₹5,000 | ₹5,000 |
| Reactivation | Used to reactivate deactivated DIN | Generally cannot reactivate alone |
Typically 1 April. Gather documents and file early to avoid September rush and OTP delays.
30 September. On-time filing: no ₹5,000 penalty. DIN stays active.
Non-filers: DIN deactivated. Late filing with ₹5,000 required to reactivate.
Often required within 30 days of allotment for first-time KYC. Confirm current MCA practice.
Verify whether DIN is approved, deactivated or requires full form vs WEB form.
Personal details, Aadhaar, PAN, email, mobile and any change in particulars. Self-attested docs as needed.
DIR-3 KYC (with DSC/certification) or DIR-3 KYC-WEB (OTP). Coordinate Aadhaar/email OTP.
File on MCA V3 portal, pay fee/penalty if any, obtain SRN and track approval.
Share confirmation. For reactivation, DIN typically moves to Approved within 24–72 working hours after approval.
| Scenario | Consequence |
|---|---|
| Filed by 30 September | No late fee; DIN remains active |
| Filed after 30 September | Flat ₹5,000 late fee; DIN may already be deactivated |
| DIN deactivated (from 1 Oct) | Cannot sign MCA forms, accept new appointments or complete filings that need that DIN |
| Reactivation | File DIR-3 KYC with ₹5,000; after MCA approval, DIN status returns to Approved (often 24–72 hours) |
We prioritise filing well before 30 September so you avoid the ₹5,000 fee and DIN deactivation.
DIR-3 KYC vs KYC-WEB chosen correctly for first-time, repeat, change of details or reactivation.
Aadhaar/email OTP coordination and MCA V3 submission so the form is filed and SRN is obtained without delay.
If DIN is already deactivated, we assist with late filing and track status until DIN is Approved again.
30 September every year. The filing window typically opens on 1 April. File before the deadline to avoid the ₹5,000 late fee and DIN deactivation.
Every individual who holds a DIN as of 31 March of the relevant year — active directors, resigned directors, disqualified directors and those not associated with any company.
DIR-3 KYC is the full form (often with DSC and professional certification) used for first-time filing, change of details or reactivation. DIR-3 KYC-WEB is the OTP-based form for repeat filers with no change in particulars.
A flat ₹5,000 if filed after 30 September. There is no per-day charge, but the DIN is typically deactivated from 1 October until the form is filed and approved.
You cannot sign MCA forms, approve filings that require your DSC or accept new board appointments until the DIN is reactivated by filing DIR-3 KYC with the ₹5,000 late fee and getting MCA approval.
After successful filing and payment of the late fee, MCA approval and DIN status update to Approved often takes 24 to 72 working hours.
Yes. As long as you hold an active DIN, annual DIR-3 KYC is required. To stop the requirement, you must surrender the DIN through Form DIR-5.
The obligation remains every year by 30 September. Rules may provide for a full form in some years and KYC-WEB in intervening years; the deadline and late fee still apply each year. Confirm the current year’s form type for your DIN.
Comprehensive support: DIR-3 KYC / KYC-WEB filing, status check, OTP support and MCA submission. Avoid ₹5,000 penalty and DIN deactivation from 1 October. Reactivation support if already deactivated.
